The pandemic has spread access to technology and data tools…
Stephan Koen: Without a doubt, the need to continue incorporating technology into the analysis and execution processes of the M&A industry is a pre-existing trend to the pandemic (as in many other sectors), but Covid-19 is causing a certain acceleration in the adoption of technology such as video- conferencing and teleworking tools, in- formation sharing and teamwork, etc. Obviously, professionals in the sector have to be open to the fact that more and more “technology” is involved in our day-to-day lives, which will undoubtedly be beneficial for our industry.

Marco Van Velzen: At the same time, teleworking requires technology to integrate new functionalities to facilitate remote work and remote collaboration, sharing information more easily.
Companies will have to adjust their processes to make them more homogeneous and it will be interesting to see if, after the pandemic, we continue to give the same importance to face-to- face meetings. In our opinion, they will remain highly relevant, but possibly at a more advanced stage. In other words, the first introduction will surely continue to be done online, but as the collaboration progresses, there will be a need to meet again in person, due to the greater trust that is generated.

Will the positive trend of closing deals continue in the coming months?
SK: The market is regaining its pulse after a very peculiar 2020 in the mid- market M&A. The main players in the sector, such as private equity funds and industrial investors, have been waiting until they see the final effect of Co- vid-19 in the different industries, but as a certain sense of normalcy resumes, the recovery and ramp up of transactions seen during the last months of 2020 is consolidating in 2021.

MVV: Our database of transactions in Spain shows this trend explained by Dextra. The volume of M&A activity decreased by 24% between 2019 and 2020, mainly due to the impact of the lockdowns in the second quarter of 2020 (-66% between Q2 2019 and Q2 2020) and to a lesser extent in the third quarter (-42%). In the fourth quarter there was a very significant acceleration, with a no- table increase in deals (+ 42%). Since the beginning of 2021 we have seen some normalization in the number of transactions, somewhat less than in 2019, but clearly better than in 2020.

Price differences, are they one of the biggest showstoppers?

SK: In general, it is one of the main reasons why a significant volume of transactions does not materialize. The selling party requires a certain time to assume the new reality and internalize that the results of their company have deteriorated and this implies a lower valuation of their shares. This occurs especially in crisis situations such as the current one, which appears to be temporary. However, this crisis is leaving a structural footprint. It remains to be seen how long it will last and how it will impact the P&L of companies, ta- king into account that the impact has been uneven for different sectors.

How does Valutico optimize Dextra Corporate’s valuation processes?

SK: Valutico brings us two great advantages. On the one hand, speed, allowing a complete valuation report to be issued in less than a day, with high quality and different methodologies, and considerable time savings. In addition, Valutico has access to leading market databases that alone already justify its use. Its simple and intuitive workflow serves as a training tool for our team.

In addition, the use of a consistent methodology in each of the assessment projects makes it possible to improve the general quality of the result, minimizing the possibility of introducing errors and the excessive level of arbitrariness that each individual may end up contributing to the result, without undermining the ability of tailoring each valuation project, enabling them to leverage their experience and knowledge.

MVV: I’m delighted by Stephan’s comments. The key for Valutico has always been to help the valuation expert work more efficiently without losing the ability to bring the depth of their expertise into each assessment, and to improve the quality of their valuations. Our goal is for the experts to have more hours available to focus on the part of the process where they can add the most value.

Dextra Corporate is in a period of high growth …..

SK: Yes we are. We are increasing our participation in larger transactions. Some recurring clients whom we advise on inflows of private equity funds and family offices, as well as their subsequent build-up strategy have been an important source of deals in 2020, although from the beginning from 2021 new ones have been added. Our great differentia- ting factor is our other activity, consisting of the structuring and management of investment vehicles (not Private Equity) such as real estate and hotels. This allows the generation of a recurring revenue, which in turn facilitates the decision to invest time and effort of our M&A team and its success.

In which markets does Valutico operate at the moment?

MVV: In Europe we are present in 10 countries. Our headquarters are in Vienna (Austria), but we are also in Germany, the United Kingdom, Spain, France, the Netherlands and soon in Italy, among others. We currently have more than 250 clients in more than 30 countries. Undoubtedly, Spain is an important market due to its volume and because the M&A and Private Equity sector is highly professionalized.

Finally, you said that your greatest competitor is Excel …..

MVV: Indeed. We want to be the main reference in the market for professional company valuation software, but we are obviously not as popular as Excel yet. Still many professionals experts carry out the entire assessment process in Excel, with some important disadvantages: time-consuming, very manual work, with a high possibility of errors and subpar ways to share efficiently with teams and colleagues.

On April 21, 2021, TaxTech.at hosted an update on the development of digitization in tax consulting. The presentation of the TaxTech Map 2021 and the discussion on the question “What does digitization bring in financial criminal law?” Led to an intensive and multi-layered exchange.

The event was opened by Franz Althuber, lawyer and founding partner of ASP Rechtsanwälte GmbH, with a welcome note. This was followed by the presentation of the Tax Tech Map 2021 by host Sophie Martinetz, founder of TaxTech.at. While the switch to digital work is currently a major challenge for many companies, the Tax Tech Map provides an overview of the Tax Tech Tools available on the market. Valutico, the first Fintech to provide web-based company valuation tools to the financial sector, has received the go ahead to build a framework that bridges the gap between ESG factors and modern valuation theory and practice, thanks to the support of the Vienna Business Agency.

The move comes in response to sustainability considerations becoming an increasingly integral part of the financial industry. The ability to quantify the ecological and societal impact of a company will become essential if not a mandatory requirement due to recent European regulatory developments and therefore beneficial to all financial professionals. The European Commission has set itself the task of encouraging financial institutions to help redirect capital flows in favour of combating climate change. Over the last 24 months, the European Commission has issued a number of directives that will change processes in the financial sector, especially in banks and financial service providers under The Sustainable Finance Disclosure Regulation (SFDR).

In the future, banks and financial institutions will have to take the sustainability performance of their corporate clients into account when providing loans. But also outside of regulatory pushes towards sustainable finance. The valuation experts and investors have shifted their focus towards making investment decisions based on ESG factors due to rising demands to consider the societal value of their investments.To do so, they need appropriate tools that enable them to effectively and inexpensively determine and measure the sustainability “footprint” of companies. Making these tools available – that is the purpose of ValutECO.

ValutECO will be an innovative product extension of the existing valuation models, which currently focus on the financial value of a company. Rooted in Valutico’s core competency of financial business valuation, the goal is to develop and offer a robust qualitative and quantitative module for the holistic assessment of an organisation’s impact on the environment (e.g. climate, biodiversity, water), on society (e.g. ILO standards, diversity and human rights) and on governance (e.g. proactive stance against corruption), and factoring it in to calculate the overall “Societal Value” of any organisation.

Austrian FinTech Valutico reveals UK scaling plans

An Austrian FinTech plans to significantly expand in the UK after hitting 100 active users in more than 20 countries. 

Valutico’s data-driven tools reduce the time needed for a business valuation from days to hours. 

With clients in Europe, the Americas and South East Asia, it supports valuation experts within accounting and tax advisory firms, corporate finance and M&A advisors, as well as investment managers.  

Launched in Vienna in 2017 by Paul Resch, a corporate finance professional formerly in M&A, it aims to level the playing field in valuation analysis. 

Resch had become frustrated that, due to lack of data and know-how, professional equity valuations were only available to the world’s most sophisticated advisors and investors.  

“When I was working in M&A, I spent many nights tirelessly working in Excel, which was arduous and subject to error,” he said.  

“There was no other tool at the time, which is why I shifted careers from banking to FinTech and created our own valuation tool.” 

The Valutico system integrates world-leading databases on market and transaction data alongside additional sources, providing users with appropriate data when they need it. 

It says its self-learning algorithms mimic the thought process of a valuation practitioner, semi-automating key processes. 

Valutico

Valutico’s product offering includes modules for the valuation of private and public companies, as well as a marketplace – MyValutico – which brings together valuation experts with business owners who need support with valuations. 

“The UK is the largest exporter of financial services and London is the world’s financial hubWith its convenient time zone and the manner in which business is conducted it only made sense to expand our business there,” Resch told BusinessCloud. 

“In terms of turnover the UK is already our largest single market and we will continue to build on that strength. 

Some of our key clients are based in London and we immediately saw further demand for our platform through referrals and word of mouth. Our London-based team is not just able to serve the wider UK market, but also the US east coast, as well as certain European markets such as Benelux and the Nordics. 

“Given that our hiring for business development roles is primarily focused on the London metropolitan area we will significantly grow our UK-based team over the next two years. 

We are also currently building a customer success team and given the quality of the applicants, our hiring for that team will likely be strongly focussed on the UK too. 

Valutico is currently serving 40 UK-based clients and employs three full time members of staff, currently working from home due to COVID-19 

The jury is still out on whether work from home is a net positive for us and society at large, but we are cautiously optimistic that we can make this a permanent thing and give people more flexibility as to where they want to work from,” added Resch. 

Asked how has COVID-19 affected his plans for the business, he answered: “It’s hard to say! We have had a very good year, but who knows if it hadn’t gone even better without the COVID uncertainties.  

“Maybe prospective clients are even more open now than before to making their operations more efficient. Maybe they also have a bit more time to evaluate solutions like ours, because less time is wasted on meetings and travel.  

“What can be said for sure is that valuations are very much still in demand, if not more so than ever. We’ve grown three-fold over the last 12 months and we are hiring more than ever.” 

Brexit will not impact scaling plans either. “There are currently some uncertainties around billing and VAT treatment, but these are minor things compared to what other companies have to deal with,” said Resch.  

Overall it should have a very minor effect on our current business and future plans for the UK.

Interview with Paul Resch: CEO and Co-Founder of Valutico

Fintech scale-up Valutico recently celebrated 100 clients across 20 countries. We talked to the company’s CEO and Co-Founder Paul Resch about Valutico and his future plans for the company.

Please tell us a bit about yourself

I am an M&A and valuation expert formerly working for Raiffeisen Investment AG, Boston Consulting Group and Deutsche Bank. I gained relevant experience as an entrepreneur due to my role as co-founder and CEO of Greetzly (founded in 2014), a web based video communication tool to interact with influencers and celebrities. It’s essentially a video autograph card. Unfortunately we were too early and started in Europe, but there’s now another successful company doing the same thing in the US. Following my studies at the University of St.Gallen, Columbia University and the London School of Economics my professional career was focused on mergers & acquisitions and valuation topics, identifying not only trends but also problems/frustrations across the industry landscape.

Please tell us a bit about Valutico and what services the company currently offers?

Valutico is a web based valuation platform. We provide the financial services industry (predominantly valuation experts within Accounting and Tax advisory firms, Corporate Finance and M&A advisors, as well as investment managers in Europe, the Americas and South East Asia)  with groundbreaking data-driven tools so that they can conduct their analysis more efficiently and in a methodological fashion. Valuation advisory is complex, however Valutico’s integrated valuation solution reduces the time it takes to do a valuation from days to merely hours.

Valutico’s product offering includes modules for the valuation of private and public companies, as well as a marketplace (MyValutico) that brings together valuation experts with business owners who need support with valuations.

What made you start Valutico?

When I was working in M&A I spent many nights tirelessly working in Excel which was arduous and subject to error. There was no other tool at the time which is why I shifted careers from Banking to Fintech and created our own valuation tool. Something had to be done to make the process easier!

What is your ultimate aim for the company?

To build a lasting business that improves the way we do things in a sustainable way. Not quite there yet, but it looks like we are on track.

What is the one achievement with Valutico that you are most proud of to date?

Building a team all over the world from Indonesia, Brazil to Russia! We’ve been really lucky with who we have hired and can’t wait to keep on hiring!

What is the one message that you would give to budding entrepreneurs?

Keep a broad perspective, don’t specialise too early. There is a widely held belief that to be successful you have to specialise early and focus all your efforts in one area. Interview with Paul Resch, Founder and CEO of Valutico

How did you come up with the idea for the company?

Out of sheer frustration! I used to spend weeks in Excel whilst working in M&A at Deutsche bank and could not understand why there was not a simpler, time saving solution to conducting valuations. Together with a dedicated group of experts in Software and Data Science, we took matters into our own hands and decided to build a platform that would ultimately change the way valuation analysis is done.

We have simplified the overall valuation process – saving our customers’ time and frustration – and it is rewarding knowing that we are making people’s working lives easier!

What advice would you give to other aspiring entrepreneurs?

1. Focus on one project, and one project only: You might be 10% smarter than the next person, but if you only dedicate 50% of your time you will be out-competed.

2. Build a network of thought leaders in your field, their advice could be instrumental in driving your business (and yourself) forward. Get feedback early on. There’s no need to be secretive about your idea, it’s only 10% of success, the rest is all about execution and for that you need feedback. Also, present your idea to potential clients as soon as you have something to show. If you aren’t a little embarrassed when demoing, you’ve probably waited too long.

3. Be aware that everything takes twice as long and costs twice as much.

What can we hope to see from Valutico in the future? 

Our goal is to provide experts with the valuation technology they need to compete in a digitalised world. In the future we plan to develop more valuation-related tools to supply financial service players with valuation-related turn-key solutions based on the latest technology. The US is proving to be a key market for us, watch this space!
